Free Demo Download License DBO SERVICES LIMITED DEMONSTRATION LICENCE NOTICE TO USER: PLEASE READ THIS DEMONSTRATION LICENCE CAREFULLY. BY DOWLOADING, INSTALLING OR USING ALL OR ANY PORTION OF THE SOFTWARE YOU INDICATE YOUR ACCEPTANCE OF THE FOLLOWING TERMS FROM DBO SERVICES LIMITED ("DBO SERVICES"). YOU AGREE TO BE BOUNDS BY ALL THE TERMS AND CONDITIONS OF THIS DEMONSTRATION LICENCE. YOU AGREE THAT IT IS ENFORCEABLE AS IF IT WERE A WRITTEN NEGOTIATED DEMONSTRATION LICENCE SIGNED BY YOU. IF YOU DO NOT AGREE TO THE TERMS OF THIS DEMONSTRATION LICENCE, DO NOT DOWNLOAD, INSTALL OR USE THE SOFTWARE. 1. Definitions. "Demonstration Period" means a restricted number of days from the date that you first use the Software and the Documentation or as otherwise agreed by DBO Services and evidenced in writing or by e-mail. For the downloadable version this is restricted to 90 days. "Permitted Number" means a restricted number of installations on different PC's or laptops. "Software" means all of the contents of the files, disk(s), DVD(s), CD-ROM(s), electronic materials or any other media with which this Licence is provided, which you access or download. "Documentation" means related explanatory electronic materials or files which you download from the web. "Use" or "Using" means to access, install, download or otherwise benefit from using the functionality of the Software in accordance with the Documentation. 2. Demonstration Licence. DBO Services hereby grants to you a non-exclusive, temporary, non-transferable, non-assignable right, during the Demonstration Period, to Use the Software and Documentation internally solely for demonstration purposes on the Permitted Number of installations. Upon expiration of the Demonstration Period, you are not permitted to continue to Use the Software and Documentation other than by entering into a full Licence Agreement with DBO Services. The Demonstration software will cease to function at the end of the 90 day Demonstration Period. 3. Licence Restrictions. You agree that you will not yourself, or through any intermediate or ultimate holding company, subsidiary, subsidiary of any such holding company, agent or other third party, sell, lease, licence, sub-licence, encumber or otherwise deal with any portion of the Software or Documentation, decompile, disassemble, or reverse engineer any portion of the Software, or write or develop any derivative software or any other software program based on the Software or confidential information provided by DBO Services. 4. Termination. DBO Services may terminate this Demonstration Licence immediately in the event that you breach any term herein. This Demonstration Licence shall expire in the event that you elect not to enter into a separate full Licence Agreement at the end of the Demonstration Period. Upon any such termination or expiration, you shall forthwith discontinue your use of the Software and the Documentation and return all media to DBO Services. Clauses 5, 6, 7 and 8 shall survive termination of this Demonstration Licence. 5. Intellectual Property Rights. DBO Services shall have sole and exclusive ownership of all right, title, and interest in and to the Software and the Documentation, including all copyright and any other intellectual property rights therein. This Demonstration Licence conveys a limited Licence to Use the Software and shall not be construed to convey title to or ownership of the Software to you. All rights in and to the Software not expressly granted to you are reserved by DBO Services. The Software and Documentation is protected by copyright, trademark, patent, and/or other intellectual property laws, and any unauthorized use of it may violate such laws and these terms of Use. Except as expressly provided herein, DBO Services does not grant any express or implied rights to use the Software. 6. EXCLUSION OF WARRANTY. THE SOFTWARE AND DOCUMENTATION ARE PROVIDED TO YOU FOR DEMONSTRATION PURPOSES ONLY. YOU AGREE THAT DBO SERVICES HAS PROVIDED NO EXPRESS OR IMPLIED WARRANTIES, ORAL OR WRITTEN, TO YOU REGARDING THE SOFTWARE OR DOCUMENTATION AND THAT THEY ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. DBO SERVICES HEREBY DISCLAIMS ALL WARRANTIES WITH REGARD TO THE SOFTWARE AND DOCUMENTATION, EXPRESS, STATUTORY OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT OF THIRD PARTY RIGHTS. ADDITIONALLY, YOU HEREBY ACKNOWLEDGE AND AGREE THAT THE SOFTWARE CONTAINS RESTRICTIONS AND LIMITATIONS WHICH ARE CONSISTENT WITH DEMONSTRATION SOFTWARE. 7. LIMITATION OF LIABILITY. DBO SERVICES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES INCLUDING LOSS OF PROFITS AND GOODWILL, BUSINESS OR BUSINESS BENEFIT EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 8. Confidentiality. You agree that you and your employees will keep the Software and Documentation strictly confidential. 9. General. This Demonstration Licence constitutes the entire agreement between DBO Services and you in relation to the demonstration of the Software. This Demonstration Licence shall be governed by and construed in accordance with and the parties hereby submit to the exclusive jurisdiction of the laws of England and Wales. All DBO Services software is protected by license key activation, after installing you will be required to send install codes from the software to DBO Services for an Activation key to be provided. See 'Requesting a License Key' document for more details.
